Welcome to UFoundation (ufoundation.world). These Terms govern your use of the Platform and our Privacy Policy. By accessing the Platform to support Project(s) via SOL or other supported currencies on the Solana network, you accept and agree to these Terms.

UFoundation does not act as trustee, agent, custodian, or fiduciary, and does not hold funds on behalf of Projects.

1 Definitions

Platform: The UFoundation website and related interfaces.

User / You: An individual using the Platform.

Project: A campaign or initiative listed on UFoundation.

Project Owner: The individual or entity that creates and manages a Project on UFoundation and is responsible for any rewards offered.

Wallet: A non-custodial crypto wallet chosen by you (e.g., Phantom).

Supported Currency: SOL and any other cryptocurrencies accepted by UFoundation for Project support.

UFoundation’s role is limited to listing Projects provided by Project Owners and enabling Users to provide Support. UFoundation does not create, manage, endorse, or independently verify any Project or its content.

2 Nature of Supported Currencies

Supported Currencies are used exclusively to support Projects on the Platform. They are not issued, controlled, or guaranteed by UFoundation. They do not confer any governance rights, profit share, dividend, or ownership in UFoundation or any Project.

UFoundation does not guarantee or promote any value appreciation of any Supported Currency. Their value may fluctuate due to market conditions, network usage, or other factors outside UFoundation's control.

No Monetary Value

Supported Currencies have no inherent or intrinsic monetary value as issued or represented by UFoundation and are not redeemable for cash, fiat currency, or any other asset. They are intended solely for facilitating Project support via the Platform. Any ability to trade Supported Currencies on third-party platforms does not imply or confer any monetary value, and UFoundation makes no representation or warranty as to the existence, availability, or pricing of any such trading.

The operation of, or activity on, the Platform does not and will not have any direct impact on the market value of any Supported Currency.

3 Support Payment & Transfer

Users send Supported Currencies directly to Project Owners via the Solana network. UFoundation does not act as an intermediary, custodian, or escrow agent for these transfers.

UFoundation does not facilitate the exchange, swapping, or conversion of any Supported Currency and is not a payment processor. All transfers of Supported Currencies are initiated and completed directly between the User and the Project Owner via the Solana network or other relevant blockchain network, without custody, handling, or processing by UFoundation.

All transfers are final and irreversible once submitted to the Solana blockchain.

You are solely responsible for ensuring that the correct address, amount, and currency are used.

The Platform may contain links to or integrations with third-party wallets, exchanges, or blockchain services. UFoundation does not control, endorse, or assume responsibility for these services. Your use of them is entirely at your own risk.

4 User Acknowledgements & Responsibilities

By using the Platform you confirm:

  • You have suitable experience with blockchain and Wallets.
  • You are supporting Projects solely using Supported Currencies.
  • UFoundation does not conduct KYC, AML, CTF, or sanctions screening. Compliance rests entirely with the Project Owner and the User.
  • You accept full responsibility for all transactions, including losses caused by errors, network issues, or wallet problems.
  • Project Owners are solely responsible for offering, managing, and delivering any rewards promised in connection with a Project. UFoundation does not verify, guarantee, or enforce the delivery, quality, legality, or suitability of any reward. Any questions, claims, or disputes regarding rewards must be resolved directly between you and the Project Owner.
  • Supporting a Project carries risks, including the possibility of loss, fraud, or non-delivery of rewards. You should carry out your own enquiries and make an independent assessment before making any contribution.
  • If you are a Project Owner, you must comply with your separate Service Agreement with UFoundation, which governs your relationship with UFoundation and sets out your legal, compliance, and reward fulfilment obligations.
  • You are at least eighteen (18) years old. If you are under eighteen, you may not use the Platform or support any Project.

4A User Conduct

You agree not to use the Platform for unlawful, fraudulent, or malicious purposes, including:

  • Violating applicable laws;
  • Attempting unauthorised access to systems;
  • Disrupting the Platform's security or performance;
  • Distributing malicious code;
  • Harassing or abusing Users, Project Owners, or UFoundation staff.

4B Export Controls and Sanctions Compliance

You confirm that you are not located in, under the control of, or a resident of any country subject to sanctions, and are not listed on any prohibited or restricted party list. You must not use the Platform if doing so would violate export control or sanctions laws.

5 Regulatory Compliance & Liability

UFoundation’s role in relation to projects listed on the Platform is limited to providing the technical means for listing and supporting projects. UFoundation does not originate, manage, or control the content of projects and is not responsible for verifying their accuracy, legality, or compliance.

UFoundation does not perform background checks, due diligence, or legal verification on any Project Owner or Project, and does not confirm the authenticity, viability, or suitability of any Project.

UFoundation is not a registered financial services provider and does not offer exchange, custody, or advisory services.

You are responsible for ensuring your activities comply with applicable laws.

Project Owners are separately responsible for ensuring that their Projects, rewards, and activities comply with all applicable laws and regulations, including but not limited to charitable solicitation, digital asset, consumer protection, tax, import/export, and anti-money laundering laws. UFoundation does not monitor or enforce Project Owner compliance and is not responsible for any non-compliance.

UFoundation is not a party to any contract or arrangement between Users and Project Owners. Any questions, claims, or disputes regarding projects, rewards, or fulfilment must be resolved directly between the User and the Project Owner. UFoundation has no obligation to mediate or become involved in such disputes.

The collection and processing of personal data is carried out in accordance with our Privacy Policy.

Regulatory Changes

The treatment of cryptocurrencies may change. UFoundation makes no representation as to legality in your jurisdiction.

Assumption of Risk

You accept the risks of using Supported Currencies, including loss of access to wallets, value fluctuations, and the possibility that a Project or the Platform may cease to operate.

No Advice

All information on the Platform is for general purposes only and not professional advice.

The Platform is provided "as is" without warranty. UFoundation's liability is limited to direct platform use.

6 Marketing & Communication

UFoundation does not promote SOL or other Supported Currencies as investments.

No communications will suggest profit potential or price appreciation.

Any reference to price or market activity must include a statement that cryptocurrencies are volatile and trading involves risk.

Marketing or promotional materials on the Platform or related channels may describe projects as submitted by independent Project Owners. UFoundation does not represent or imply that such projects have been verified, endorsed, or approved by UFoundation, and any descriptions are based solely on information provided by the relevant Project Owner.

7 Amendments

We may amend these Terms at any time to comply with applicable laws. Continued use of the Platform constitutes acceptance of changes.

7A Termination

UFoundation may suspend or terminate access if:

  • You breach these Terms;
  • You pose a legal or security risk;
  • Required by law or regulatory order.

Upon termination, your right to use the Platform will immediately cease. Termination will not affect any rights, obligations, or liabilities that have accrued before the termination date.

8 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws principles.

You agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming, USA.

Force Majeure. UFoundation will not be liable or responsible for any failure or delay in performance caused by events, circumstances, or causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labour disputes, government action, utility or internet failures, or blockchain network disruptions. In such circumstances, UFoundation’s obligations will be suspended for the duration of the event.

Severability. If any provision of these Terms is found invalid, illegal, or unenforceable to any extent, the remainder will continue in full force and effect. The invalid provision will be deemed modified to the minimum extent necessary to make it valid and enforceable to the fullest extent permitted by law.

No Waiver. Failure by UFoundation to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. UFoundation may assign, transfer, or subcontract its rights or obligations under these Terms without restriction. You may not assign or transfer your rights or obligations without UFoundation’s prior written consent.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and UFoundation relating to your use of the Platform and supersede any prior agreements, understandings, or representations, whether oral or written.

Survival. Any provisions of these Terms which by their nature should survive termination will remain in effect, including but not limited to disclaimers, limitation of liability, governing law, and dispute resolution provisions.

Survival of Specific Rights. Without limiting the general Survival clause above, the provisions relating to Intellectual Property, Indemnity, Liability Cap, Governing Law, Dispute Resolution, and Export Controls and Sanctions Compliance will survive termination of these Terms for any reason.

No Agency. Nothing in these Terms shall be construed to create any partnership, joint venture, employment, or agency relationship between UFoundation, Users, or Project Owners.

Indemnity. You agree to indemnify, defend, and hold harmless UFoundation and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or applicable laws.

Liability Cap. To the maximum extent permitted by law, UFoundation’s total aggregate liability arising out of or relating to these Terms shall not exceed the greater of (i) £100 or (ii) the total amount paid by you to UFoundation in the twelve months preceding the claim.

Equitable Relief. You agree that any breach or threatened breach of these Terms may cause UFoundation irreparable harm for which damages would be an inadequate remedy. In such cases, UFoundation may seek injunctive or other equitable relief in any court of competent jurisdiction without the requirement to post a bond.

No Class Actions. You agree that any dispute, claim, or proceeding arising out of or relating to these Terms will be resolved on an individual basis, and not as a plaintiff or class member in any purported class, collective, representative, or mass action or proceeding. Unless UFoundation agrees otherwise in writing, the court or tribunal may not consolidate your claim with any other person’s claim or otherwise preside over any form of a representative or class proceeding.

8A Intellectual Property

UFoundation retains all rights to the Platform's content and technology. Project Owners retain IP rights to their content.

8B Anti-Circumvention

Users must not bypass Platform fees or security measures.

9 Privacy Policy

1. Introduction

This Privacy Policy explains how UFoundation (“we”, “our”, “us”), a Wyoming non-profit corporation, collects, uses, and protects your personal data when you use our platform (ufoundation.world) and related services (the “Platform”).

We operate internationally and comply with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR), the EU General Data Protection Regulation (EU GDPR), the California Consumer Privacy Act (CCPA/CPRA), and relevant U.S. federal and state privacy laws.

By using the Platform, you consent to the practices described in this Policy.

2. Data We Collect

Project-Related Data

  • Names, photographs, and other details of Project management team members provided by Project Owners.
  • Business plan content, project descriptions, and other public-facing materials.

Optional Personal Data

  • Name, email address, or contact details you choose to provide (e.g., to receive updates or communicate with a Project Owner).

Technical Data

  • IP address, browser type, device information, usage logs, and analytics data collected through cookies or similar technologies.

3. Lawful Basis for Processing

  • Consent — for publishing names and photos of management team members or sending marketing updates.
  • Legitimate interests — for analytics, security, service improvement, and essential communications.
  • Legal obligations — where processing is required by applicable law.

4. Role of UFoundation and Project Owners

UFoundation acts as an independent data controller for personal data it collects and publishes on the Platform.

Project Owners are independent data controllers for the data they provide to UFoundation for publication, and they are responsible for ensuring they have lawful grounds (such as consent) for sharing it.

Project Owners must comply with all applicable data protection laws and indemnify UFoundation against any claim resulting from unlawful or unauthorised data submission.

UFoundation does not monitor or enforce Project Owner compliance.

5. How We Use Your Data

  • Publish project and management team information provided by Project Owners (with documented consent).
  • Facilitate communication between Users and Project Owners, where you choose to contact a Project Owner.
  • Provide, operate, and improve the Platform.
  • Send you updates or information if you have requested them.
  • Maintain platform security, detect fraud, and comply with legal requirements.
  • Analyse site usage via analytics tools.

6. Data Shared with Project Owners

When you interact with or provide data to a Project Owner via the Platform, we may pass your information to them.

Any data you share directly with a Project Owner is subject to their own privacy practices, for which UFoundation is not responsible.

We encourage you to review the Project Owner’s privacy policy before sharing personal data.

7. Third-Party Processors

We use trusted third-party service providers for analytics, hosting, communications, and payment-related integrations (non-custodial). These may include:

  • Google Analytics (analytics and usage tracking)
  • Secure hosting providers (server infrastructure)
  • Email delivery services (for opt-in updates)

We ensure these providers process personal data in accordance with applicable law and with contractual safeguards.

8. Data Retention

  • Management team names/photos — retained only while consent is valid.
  • Optional personal data — retained until withdrawal of consent or no longer necessary.
  • Technical logs — retained for up to 12 months unless required longer for security or legal purposes.

9. International Data Transfers

As a U.S.-based organisation operating globally, your personal data may be processed outside your country of residence. Where required by law (e.g., UK/EU GDPR), we implement appropriate safeguards such as Standard Contractual Clauses.

10. Data Security

We use industry-standard security measures, including encryption, secure hosting, and access controls, to protect your data.

Data Breach Notification: In the event of a personal data breach that creates a risk to your rights and freedoms, we will notify affected individuals and relevant regulators without undue delay, in accordance with applicable law.

11. Your Rights

Depending on your jurisdiction, you may have the right to:

  • Access and obtain a copy of your personal data.
  • Request correction or deletion.
  • Withdraw consent for processing.
  • Object to processing or request restriction.
  • Data portability.

12. Cookies & Tracking

We use cookies and similar tools for analytics and security.

13. Children’s Policy

Our services are for individuals aged 18 or over. We do not knowingly collect data from minors.

14. Changes to This Policy

We may update this Privacy Policy from time to time. We will post the revised version on the Platform with a new “last updated” date. Continued use of the Platform after changes take effect constitutes acceptance.
